Transactions

 

Solis’ principals have extensive experience negotiating and structuring investments that align the interests of investors, business owners and management teams. Representative transaction structures include:

Recapitalization: Solis purchases half or more of a company to provide shareholder liquidity and/or  working capital.

Management-led Buyout: Management partners and invests with Solis to acquire the business they are operating.

Purchase: Similar to a management-led buyout, but Solis acquires the entire company from a departing owner, and existing management neither leads the transaction nor invests a significant amount of their net worth in the acquisition.

Solis structures transactions to align the interests of the selling shareholders, management and Solis investors. This includes recognizing the specific and unique needs of selling shareholders beyond merely providing capital (such as family business transitions, unplanned events, partnership dissolutions, divisional divestitures and operational evolution). This also includes management participating in the value it helps create through equity or equity-like performance based incentive programs, and structural downside protection for Solis investors.

Solis is creative and flexible in structuring its investments, using various equity and, if appropriate, debt instruments to meet the objectives of all parties. Solis also is mindful of the post-closing capital structure, and accordingly is careful not to overburden an investment with debt.

Solis approaches every transaction with appreciation of its unique significance and requirements. Its due diligence process causes early focus on issues of significance while minimizing the burden on management. Solis also appreciates the importance of confidentiality relative to employees, customers and the marketplace, and maintains that confidentiality throughout the transaction.
